Seeds Cycling CONSTITUTION 1. NAME OF CLUB – The name of the club will be Seeds Cycling (hereinafter referred to as ‘the Club’). 2. OBJECTIVES – The objectives of the Club shall be: a) To encourage road cycling for all abilities. b) To organise recreational and sporting cycling and social activities for the enjoyment and benefit of its members. c) To promote and protect the interests of cyclists. 3. MEMBERSHIP – Membership of the Club will be open to all persons and will fall into the following categories: Senior members. Senior members shall be over 18 years of age. Persons wishing to join the Club shall complete an official application form to be lodged with the Membership Secretary. Membership cards will be issued upon acceptance. 4. COMMITTEE & OFFICE BEARERS – The affairs and activities of the Club shall be managed by a Committee comprising of a Chairperson, Secretary, Treasurer, Road Representative, The Committee shall be chaired by the Chairperson and shall meet at least one time per year. Five members of the Committee shall form a quorum. All Committee members shall be elected annually at the Club’s Annual General Meeting and shall hold office for one year, after which they shall be eligible for re-election. The Committee shall have the power to co-opt new members in the event of vacancies occurring between elections. Any member of the Committee who is absent from two consecutive Committee meetings, without giving satisfactory reason for absence, may forfeit his/her seat on the decision of the Committee. 5. ANNUAL GENERAL MEETING – The AGM will be held in the last week of November. Not less than 14 days notice of such a meeting shall be given to all members. Any member wishing to place an item on the Agenda of the AGM must do so in writing or by email to the Secretary a minimum of seven days prior to the AGM. 6. SPECIAL GENERAL MEETINGS – A Special General Meeting of the Club may be called at any time by the Committee or by a written request, submitted to the Secretary, by not less than five Senior members. Such requests must state the business or motion to be discussed at the meeting. Fourteen days notice of such a meeting shall be given to all members. 7. QUORUM – Five Senior members will form a quorum at either an AGM or SGM. All resolutions, motions and questions submitted to such meetings shall be carried by a single majority of those attending except in the case of a resolution or motion to alter the Constitution for which a two-thirds majority of those present and voting shall be required. 8. ACCOUNTS & FINANCIAL YEAR The Club’s financial year shall run from 1 November to 31 October and accounts shall be submitted to the AGM. 9. BANK ACCOUNT – All Club funds must be lodged in a bank account in the name of the Club. The bank account shall have two signatories, one of whom shall be the Club Treasurer. All withdrawals from the Bank account shall be signed by two of the account signatories. 10. SUBSCRIPTIONS – The annual Club subscription will be set at the AGM. The subscription for the 2008 Season will be £20, this may alter as club memberhip increases. Any surplus funds left, will be allocated to pay for club activities i.e. club trips. Subscriptions shall be due on the first day of November. Any member failing to pay their subscription by the 31st of January will cease to be a member of the Club. 11. DISCIPLINE Any member violating the Rules of the Club or conducting himself/herself in a manner detrimental to the character and interests of the Club shall be expelled by the vote of two-thirds of the members present at an SGM called for the purposes of considering the expelling of the Member. 12. DISSOLUTION – If at an AGM or SGM a motion to dissolve the Club is approved, the net assets of the Club after payment of all debts shall be donated to a local charity. November 2007
